Fargo Dome Authority - April 27, 2021 Minutes

A regular meeting of the Fargo Dome Authority was held on Tuesday, April 27, 2021 at 3:30 p.m. in FARGODOME Meeting Room 203 with President Blake Nelson presiding.

Members present: President Blake Nelson, Troy Goergen, David Suppes, Michael Ellingson, Dan Armbrust, Nancy Jordheim and Rick Steen.
Members absent:

Others present: Ryan Green – City of Fargo; Sarah Dykema, Director of Sales and Marketing – FARGODOME; Amanda Muellenbach, Administrative and Auxiliary Services Manager – FARGODOME; Bernie Larson, Assistant General Manager – FARGODOME; Susan Thompson, Director of Finance – FARGODOME and Rob Sobolik, General Manager – FARGODOME.

President Blake Nelson called the meeting to order at 3:30 p.m.

Rick Steen made a motion, seconded by David Suppes, to approve the agenda of the April 27, 2021 Fargo Dome Authority meeting as presented. Motion carried.
Rick Steen made a motion, seconded by Mike Ellingson, to approve the minutes from the March 30, 2021 Fargo Dome Authority meeting. Motion carried.

Rob Sobolik presented the General Manager’s report as follows:
• Year-to-Date Net Income through March 2021 is stated at -$316,281 which is a negative variance (to budget) of $383,466.
• Upon review, Rick Steen made a motion, seconded by David Suppes, to approve the March 2021 financial statements as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Steen and Suppes voted aye.
Absent and not voting:
The motion was declared carried.
• Past and Upcoming Events: Midwest Premiere Football League Youth Football Games was held April 11, 2021. NDSU Football vs. SDSU was held April 17, 2021. NDSU Football Playoff Game vs. Eastern Washington was held April 24, 2021. NDSU Spring Commencement will be held on May 15, 2021. Sanford Health Employee Recognition Event will be held May 19, 2021.

Rick Steen presented the Fargo Dome Authority Building and Finance Committee report. The Fargo Dome Authority Building and Finance Committees met on Wednesday, April 21, 2021. Items discussed included:
• March 2021 Financial Statements: The March 2021 Financial Statements were reviewed by the Finance Committee at the meeting on April 21, 2021.
• Food & Beverage POS System: There were seven responses to the RFP that was sent out for the Food & Beverage POS system. Please see the attached bid tabulation sheet. It was noted that the Authority had previously approved
$210,000 to fund this project. The bids were evaluated by FARGODOME staff with the top two companies being Appetize and Fiserv/Bypass. Upon further evaluation, FD staff found that Appetize was a better system for the suites and it cost less than Fiserv/Bypass. Rob requested a motion to accept the bid from Appetize for $141,133.85 for the initial hardware, software, installation and training costs and $34,797.75 for annual software subscription costs.
The Building and Finance Committees each approved motions to accept the above motion request.
• Canopy Repairs – Responses for a request for proposal were due by April 8. Two companies responded to the proposal, please see attached bid sheet. The base bid addresses the cracking and shifting in the support columns. There was also pricing to repair the joints on the exterior of the building. Rob requested a motion to move forward with the project (base and joint work), accept the bid from Ram Construction and set the project budget at $487,400 (cost plus contingency and architectural engineering costs) to be funded out of FD surplus fund.
The Building and Finance Committees each approved motions to accept the above motion request.
• Reallocation request – Rob requested to reallocate $12,000 from 2021 Budgeted/Unallocated to Mechanical – Chilled water flow testing and analysis. This will be used to complete chilled water loop flow testing and have a mechanical engineer analyze the results.
The Finance Committee approved a motion to accept the above motion request.
• Project Updates:
o Fire System – Rob noted that bids for replacing the fire alarm system are due by May 6. This item is in the 2021 Capital Budget. More information will be available at the May meeting.
o LED Lighting Project – FARGODOME staff continues to work with Vareberg Engineering and RLE on this project. More information on this item will be available at upcoming meetings.
• Escrow Balance & Performance Reports: The FARGODOME permanent fund performance, year-to-date, through February 2021 is 15.29%. Please see attachments.

Rick Steen made a motion to approve the Building and Finance Committee report as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Steen and Suppes voted aye.
Absent and not voting:
The motion was declared carried.

Nominating Committee: David Suppes presented the Fargo Dome Authority
Nominating Committee report. The Fargo Dome Authority Nominating Committee brought forward the following appointments:
• Blake Nelson as President of the Fargo Dome Authority.
• Mike Ellingson as Vice President of the Fargo Dome Authority.
• Rick Steen as Treasurer of the Fargo Dome Authority.
• Dan Armbrust as Secretary of the Fargo Dome Authority.
Nancy Jordheim made a motion, seconded by Troy Goergen to approve the slate of officers as presented.
On call of the roll, Armbrust, Ellingson, Goergen, Jordheim, Nelson, Steen and Suppes voted aye.
Absent and not voting:
The motion was declared carried.

The next Fargo Dome Authority meeting will be on May 25, 2021 at 3:30 p.m.

There being no further business, the meeting was adjourned at 3:50 p.m.
